Welcome to PolyPrep (POLYPREP, INC.). By accessing or using our Service, you agree to comply with and be bound by the following terms and conditions. Please read them carefully as they contain important information regarding your legal rights, remedies, and obligations.

Interpretation and Definitions

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or plural. These definitions are provided to ensure clarity and understanding throughout these Terms and Conditions.

Definitions

For the purposes of these Terms and Conditions:

• Affiliate means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.
• Account means a unique account created for You to access our Service or parts of our Service.
• Country refers to: Florida, United States.
• Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Polyprep, 420 S DIXIE HWY, 2C, CORAL GABLES, FL 33146.
• Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.
• Feedback means feedback, innovations or suggestions sent by You regarding the attributes, performance or features of our Service.
• Free Trial refers to a limited period of time that may be free when purchasing a Subscription.
• Goods refer to the items offered for sale on the Service.
• Orders mean a request by You to purchase Goods from Us.
• Promotions refer to contests, sweepstakes or other promotions offered through the Service.
• Service refers to the Website. This includes all functionalities, features, and content provided by the Company.
• Subscriptions refer to the services or access to the Service offered on a subscription basis by the Company to You.
• Terms and Conditions (also referred to as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
• Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third party that may be displayed, included or made available by the Service.
• Website refers to Polyprep, accessible at https://www.polyprep.co
• You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Acknowledgment

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service. By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Service. By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.

You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service without appropriate consent.

Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information. Please read Our Privacy Policy carefully before using Our Service.

Eligibility

You must be at least 14 years old to access and use our Service. By accessing or using the Service, You represent and warrant that You are at least 14 years of age. If You are between 14 and 18 years of age, You represent that You have obtained parental consent to use the Service and that Your parent or guardian has read and agreed to these Terms on Your behalf.

You affirm that You are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms, and to abide by them. You agree to comply with all local, state, national, and international laws applicable to Your use of the Service.

We reserve the right to verify Your eligibility at any time and to terminate or suspend Your access if we determine You do not meet the criteria. Pursuant to 47 U.S.C. Section 230(d) as amended, parental control protections are commercially available to assist You in limiting access to material harmful to minors (info available at https://www.getnetwise.org).

Your Responsibilities

You agree to comply with these Terms and any applicable laws. You must provide true, accurate, current, and complete information about yourself during registration. You are responsible for maintaining the confidentiality of your account information.

You agree not to engage in activities that could harm the Service, including but not limited to:

• Damaging, disabling, overburdening, or impairing Our servers or networks.
• Using automated systems (robots, spiders) to send excessive request messages.
• Transmitting viruses, worms, or items of a destructive nature.
• Attempting to gain unauthorized access to the Service via hacking or password mining.
• Uploading or transmitting content that is unlawful, harmful, threatening, defamatory, obscene, or infringes on any party's intellectual property rights.
• Impersonating any person or entity, or stalking/harassing another user.

You agree to defend, indemnify, and hold Us harmless from any claims or damages arising from Your breach of these obligations.

PolyPrep Score Guarantee Policy

We are fully committed to your success and confidently stand behind the quality of our curriculum. For certain courses, such as our SAT Program (e.g., the June SAT Guarantee), we offer a conditional Score Guarantee.

To qualify for the money-back Score Guarantee, you must strictly adhere to the terms and requirements outlined at the time of your enrollment. You must meet every single requirement listed below. If all requirements are met and you do not achieve the guaranteed score gain, you will be issued a full refund. Failure to meet any one of these conditions will void the guarantee.

Qualification Requirements for Score Guarantee

To be eligible for the guarantee, enrolled students must meet the following commitment and completion requirements:

• Minimum Subscription Commitment (For Enrollments After May 21st): If you join the program after May 21st, you must maintain an active, continuous subscription for a minimum of two (2) months to be eligible for the Score Guarantee. All weekly requirements outlined below apply to every week of your qualifying subscription period.
• Submit Your Starting Score: You must submit a baseline diagnostic or a recent official SAT score within 3 days of subscribing to establish your starting tier. Submission should be made in the form of a PDF Score Report submitted to Google Classroom or emailed to hello@polyprep.co.
• Attend Every Live Session: 100% attendance is mandatory. Across the 3-week intensive portion of the program, you must attend three (3) Math live lessons, three (3) English live lessons, and three (3) office hours. For enrollments after May 21st, you must attend every Math live lesson, English live lesson, and office hour scheduled during your qualifying subscription period. (Note: Specific session days and times will be outlined in the monthly calendar provided by PolyPrep. All session times are in EST / GMT-5.)
• Weekly Practice Tests: You must complete one (1) full-length official practice test every week during the program, totaling three (3) full-length practice tests across the all weeks of membership (until end of terms as outlined in the guarantee at the time of subscription or until all practice tests within Polyprep are completed). For enrollments after May 21st, this weekly practice test requirement totals a minimum of eight (8) tests across the two-month subscription and must continue every week thereafter until the official SAT exam for which the guarantee will count, or until all available practice tests on the PolyPrep site have been completed — whichever comes first.
• Weekly Practice Questions: You must complete 150 Math and 150 English practice questions every week of the program. This totals 450 Math and 450 English questions (900 questions total) across the 3 weeks. For enrollments after May 21st, the 150 Math and 150 English weekly requirement applies to every week of your qualifying subscription period and must continue every week thereafter until the official SAT exam for which the guarantee will count, or until all available practice questions on the PolyPrep site have been completed — whichever comes first.
• Complete & Submit Lecture Notes: You must actively take notes for every Math and English lecture. You are required to submit proof of your completed notes immediately after each lecture for every lecture during your qualifying subscription period.
• Submit Proof of Final Score: To claim the guarantee, you must send verifiable proof of your new official SAT score within 3 days of receiving it from the testing agency.

Guaranteed Score Tiers

The exact score gain we promise depends entirely on your starting score, established during your first 3 days of enrollment. The guarantee is tiered as follows:

Claiming Your Refund

If you have maintained your required subscription minimum, completed 100% of the program requirements, submitted all documentation on time, and still did not achieve the guaranteed increase based on your starting tier, please contact us at hello@polyprep.co within 3 days of receiving your official score. We will review your account activity and, upon verifying that all terms were met, issue a full refund to your original payment method.

Placing Orders for Goods

By placing an Order, You warrant that You are legally capable of entering into binding contracts. Your Order constitutes an offer to purchase Goods, subject to our acceptance.

Your Information

You may be asked to supply information relevant to Your Order (name, email, phone number, credit card details, billing/shipping address). You represent that You have the legal right to use the payment method provided and that the information is true and complete. By submitting it, You grant us the right to share this data with payment processors.

Order Cancellation (By Us)

We reserve the right to refuse or cancel Your Order for reasons including, but not limited to:

• Goods availability
• Errors in descriptions or prices
• Suspected fraudulent, unauthorized, or illegal activity

Your Order Cancellation Rights

You may cancel and return purchased Goods in accordance with Our Returns Policy. Goods must be returned in the original condition with all instructions and packaging. Damaged or overly worn items will not be refunded. We will reimburse You within 14 days of receiving the returned Goods using the original payment method, without extra fees.

Exceptions: You cannot cancel an Order for custom/personalized goods, perishable items, unsealed hygiene products, or digital content once downloading/streaming has begun with your consent.

Communications and Text Messaging (SMS) Program

We love keeping you in the loop! By providing your mobile phone number and opting in, you agree to participate in the PolyPrep Text Messaging Program. We've set up the following friendly ground rules to ensure a great experience and to protect us both:

• Program Purpose: We use SMS to send you account updates, order notifications, promotional offers, educational content, and general news regarding our Service (managed securely through Mailchimp).
• Consent is Not a Requirement: Your consent to receive text messages is entirely voluntary and is not a condition of purchasing any Goods or Subscriptions from us.
• Message and Data Rates: Message frequency may vary. Message and data rates may apply for any messages sent to you from us and to us from you. If you have questions about your text or data plan, please contact your wireless carrier.
• Easy Opt-Out: You can change your mind at any time! To stop receiving text messages, simply reply "STOP" to any message you receive from us. We will send you one final text message to confirm that you have been unsubscribed.
• Getting Help: If you need assistance with our messaging program, reply with the keyword "HELP" for more instructions, or reach out to our team directly at hello@polyprep.co.
• Carrier Liability: Mobile carriers are not liable for delayed or undelivered messages.
• Privacy Assurance: We deeply respect your privacy. As detailed in our Privacy Policy, your mobile number and SMS opt-in consent will never be shared with, sold, or rented to third parties for their own marketing purposes.

Availability, Errors and Inaccuracies

We are constantly updating Our offerings. Goods may be mispriced, described inaccurately, or unavailable. We cannot guarantee the absolute accuracy of information, including prices and product images. We reserve the right to correct errors, inaccuracies, or omissions at any time without prior notice and may cancel orders placed based on incorrect pricing.

Intellectual Property

All content on the Service (text, graphics, logos, code) is the intellectual property of the Company or its licensors. You are granted a limited, non-exclusive, non-transferable license to access the Service for personal, non-commercial use.

You may not modify, reproduce, distribute, or use our proprietary content (including meta tags) without written permission. By submitting content (Feedback, ideas) to us, You grant the Company a non-exclusive, royalty-free, perpetual right to use, reproduce, and adapt that content worldwide.

Prices and Payments

The Company reserves the right to revise prices before accepting an Order, or subsequently if affected by external factors (government action, shipping increases, supply chain issues). If prices change post-order, You have the right to cancel.

Payments (Visa, MasterCard, Amex, PayPal) are subject to validation by your card issuer. We are not liable for delays if authorization is denied. Please contact us to resolve disputes before initiating a chargeback; unjustified chargebacks may result in account suspension.

Subscriptions

Billing and Renewals

The Service may offer paid Subscriptions (daily, weekly, monthly, annually). Subscriptions automatically renew unless canceled. You must provide accurate billing information. If automatic billing fails, we will issue an invoice; failure to pay may result in suspension.

Fee Changes

We may modify Subscription fees with reasonable prior notice. Your continued use of the Service after the change goes into effect constitutes your agreement to the new fees.

Refunds

Except when required by law, paid Subscription fees are non-refundable. Refund requests are considered on a case-by-case basis at the Company's sole discretion if requested within 14 days of purchase with a valid technical reason.

Free Trials & Promotions

We may offer Free Trials. You will not be charged until the trial expires. You must cancel before the trial ends (at least 24 hours prior) to avoid charges. We reserve the right to modify or cancel Free Trials or Promotions at any time. Promotions are governed by their own specific rules.

User Accounts

You must provide accurate information when creating an account and safeguard your password. You may not use offensive usernames or names that infringe on third-party trademarks. Notify us immediately of any security breach.

Links to Other Websites

Our Service may contain links to third-party websites. We have no control over, and assume no responsibility for, the content or practices of these sites. We strongly advise You to read their terms and privacy policies.

Termination

We may terminate or suspend Your Account immediately, without prior notice, for any breach of these Terms. Upon termination, Your right to use the Service will cease, and we may delete your account data. You may terminate your account by discontinuing use or contacting us to request deletion.

Limitation of Liability

NOTWITHSTANDING ANY DAMAGES THAT YOU MIGHT INCUR, THE ENTIRE LIABILITY OF THE COMPANY AND ITS SUPPLIERS SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU THROUGH THE SERVICE OR 100 USD (IF YOU HAVEN'T PURCHASED ANYTHING).

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR PRIVACY) ARISING OUT OF YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some states do not allow the exclusion of implied warranties or limitation of liability for incidental damages, so some limitations may not apply.

"AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. The Company disclaims all warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will meet your requirements, be uninterrupted, completely secure, or error-free.

Force Majeure

The Company shall not be liable for delays or failures in performance caused by events beyond our reasonable control (acts of God, war, terrorism, strikes, supply shortages). In such events, our time for performance is extended. Either party may terminate affected services if the delay exceeds 30 days.

Indemnification

You agree to indemnify and hold harmless the Company, its directors, employees, and affiliates from claims, damages, losses, or fees (including attorney fees) arising from:

• Your use of the Service;
• Your violation of these Terms;
• Your infringement on any third-party rights;
• Your negligent or willful misconduct.

Governing Law and Disputes Resolution

These Terms are governed by the laws of Florida, United States, excluding conflicts of law rules.

Informal Resolution

You agree to first attempt to resolve any disputes informally by contacting us at hello@polyprep.co with a detailed description of the issue. We have 60 days to resolve it informally.

Binding Arbitration

If unresolved, any claim or dispute shall be settled by binding arbitration administered by the American Arbitration Association ("AAA"). The arbitration will be confidential and held in your local U.S. county or a mutually agreed location.

CLASS ACTION WAIVER: YOU AGREE THAT CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY. YOU MAY NOT PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Severability and Waiver

Severability: If any provision is deemed unenforceable, it will be modified to accomplish its intended objectives, and remaining provisions will stay in full effect.

Waiver: Failure to exercise a right under these Terms does not waive a party's right to enforce it later.

Changes to These Terms and Conditions

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice before the new terms take effect. By continuing to use the Service after revisions become effective, you agree to the updated terms.
